MILTON AMATEUR RADIO CLUB
CONSTITUTIONPreamble
The Amateur Radio Operators of Milton, Florida, wishing to secure for ourselves the pleasures and advantages associated with the camaraderie of persons commonly interested in amateur radio, do constitute ourselves the MILTON AMATEUR RADIO CLUB and enact this constitution as our governing law. It shall be our purpose to further the exchange of information and enhance cooperation between members. We pledge to promote considerate amateur radio operations, personal operating proficiency and modern radio technology. We will conduct programs and activities that will further the general interest and welfare of amateur radio within the community.
ARTICLE I
MEMBERSHIP: All persons interested in amateur radio operations will be eligible for either Full, Family or Associate membership in accordance with Section 1of the bylaws.
ARTICLE II
Section 1. OFFICERS: The officers of the Club shall be designated as President, Vice-President, Secretary, Treasurer, and Immediate Past President.
Section 2. ELECTIONS OF OFFICERS: The sitting President shall appoint a nominating committee during September. The nominating committee shall report its recommendations at the regular meeting in October. Elections will be held at the regular meeting in November. At this time nominations may either be taken from the floor, or closed and elections will be conducted in accordance with article VII of this Constitution. New officers shall be sworn in December and assume duties at that time.Section 3. VACANCIES: Any vacancy occurring between scheduled elections must be filled by special election at the second meeting following withdrawal or resignation of a Club officer. The president may make an interim appointment until elections are held.
Section 4. REMOVAL FROM OFFICE: An officer may be removed for cause. Removal requires a three fourths vote. The meeting and procedure for removal shall be in accordance with Article VII of the Constitution and section 3 of the By laws.
ARTICLE III
Section 1. The President shall preside over and conduct all meetings in accordance with Article VII of this Constitution and any special rules adopted bye the Club from time to time. He will decide all questions of order and sign all official club documents. He will perform all duties customary to the office of the president.
Section 2: The Vice-President shall assume all duties of the President in his absence.
Section 3: The Secretary shall maintain all club records and the minutes of all official meetings. He shall maintain a current roster of membership, collect dues and submit applications for new members to the President. He shall have custody of all correspondence and read communications at club meetings.
Section 4: The Treasurer shall receive and receipt for all monies from dues and other activities of the club. He shall make a monthly report of the club's financial status at each meeting. He shall make no expenditure of club money without authorization of the Board of Directors. His records shall be submitted each year to audit by an internal audit committee. At the expiration of his term he shall surrender all club owned funds, property and records in his possession to his successor.
Section 5: Combining Secretary and Treasurer into one office. There may be occasions when it is expedient to combine these two offices. One officer may be appointed to serve both offices with the consent and authorization of the Board of Directors.
ARTICLE IV
Section 1: The board of directors shall include the President, Vice-President, Secretary and Treasurer as ex-officio voting members. Three other members may be voted into the board as members-at-large.
Section 2: The three at-large members shall sit on the board as three classes. A member shall go off the board at the end of three years on the anniversary date of his election. Initially, three board members will be elected. Following the first election, a lot will be drawn to determine the class of each elected member to serve either one, two or three years. After the first year and thereafter the club will elect one new board member to serve for three years.
Section 3: the rules for electing, filling vacancies and removal of board members shall be in accordance with the rules for other officers.
ARTICLE V
Section 1: Dues: In accordance with Section 4 of the Bylaws, the Board of Directors may assess the general membership such dues as deemed necessary for Club business and activities.
Section 2: New members dues may be prorated based on the number of quarters remaining in the year. As a matter of achievement recognition, newly licensed hams may be awarded freedom from dues for whatever proration remains in their first year.
Section 3: Non-payment of dues will indicate that a member is no longer interested in continuing his membership. He/She will be dropped after sixty days in arrears. The Board of Directors should be advised of any special cases such as illness and act accordingly.
ARTICLE VI
Section 1: The Club will provide technical assistance to members regarding electronic equipment design and proper operating procedures.
Section 2: The Club will entertain requests from local government agencies, civic organizations and private citizens who desire assistance in identifying and correcting problems or the Club's participation in local events.
ARTICLE VII
Section 1: Robert's rules of order will govern all proceedings.
Section 2: A quorum for regular business shall consist of all members present and voting. For revoking of membership and removal from office a three fourths vote of the entire membership is required.
Section 3: Amendments to this Constitution and/or Bylaws may be made by a two thirds vote of the members present at a meeting called for that purpose. Proposals for amendments may be submitted in writing at any regular meeting at either the next regular meeting or a called meeting. All members must receive advance notification of the amendment via the club's website or at a meeting prior to the meeting at which the amendment will be voted on.
